1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Yayday ("Yayday," "we," "our," or "us").
By accessing or using Yayday, you agree to these Terms. If you do not agree to these Terms, do not use Yayday.
You must be at least 18 years old and able to enter into a binding agreement to use Yayday.
2. What Yayday Is
Yayday is a private work-tracking, status communication, and professional record service.
Yayday helps individual users track tasks, organize Work Areas, record updates, prepare status reports, build work history, draft review-prep material, and communicate selected work information when they choose to share it.
Yayday is not employee monitoring software. Yayday is not designed to track hours, keystrokes, screenshots, screen recordings, browser history, physical location, background app usage, or productivity in the background.
Yayday does not provide employers, managers, coworkers, clients, recruiters, or other third parties access to your account or content unless you choose to share specific content with them.
3. Accounts and Eligibility
To use certain features of Yayday, you may need to create an account.
You agree to:
- provide accurate and current account information;
- keep your login credentials secure;
- maintain the confidentiality of your account;
- promptly notify us of unauthorized access or security concerns;
- be responsible for activity under your account.
You may not create an account using another person's identity or use Yayday in a way that violates these Terms.
4. User Content and Ownership
"User Content" means the information, text, tasks, Work Areas, notes, updates, comments, completion details, impact tags, reports, drafts, sharing choices, and other content you create, enter, upload, or generate through Yayday.
You own your User Content.
By using Yayday, you grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, display, transmit, and use your User Content only as needed to:
- provide Yayday to you;
- operate and secure the service;
- support features you choose to use;
- generate user-directed drafts, reports, summaries, or suggestions;
- provide customer support you request;
- comply with legal obligations;
- improve and maintain the service.
This license does not give Yayday ownership of your User Content.
We do not sell your User Content.
We do not provide hidden ratings, scores, or reports about you to employers.
5. Privacy and User-Controlled Sharing
Your use of Yayday is also governed by our Privacy Policy.
Yayday is private by default. Other people cannot access your Yayday content unless you choose to share specific content with them.
When you loop someone in, share a task, share a Work Area, send an update, or export a report, you are responsible for the content you choose to share.
Private notes are not intended to be visible to shared users unless Yayday clearly gives you the option to include them and you choose to do so.
You are responsible for ensuring that your use of Yayday and any sharing you do complies with your workplace policies, client obligations, confidentiality duties, and applicable law.
6. AI-Assisted Features and Drafts
Yayday may include AI-assisted features that help draft status updates, summarize work, suggest impact tags, suggest skills or capability language, prepare reports, or organize review-prep material.
AI-assisted features are suggestions only. They may be incomplete, inaccurate, or inappropriate for your situation.
You are responsible for reviewing, editing, approving, and deciding whether to use or share any AI-generated or AI-assisted output.
Yayday does not make employment decisions about you. Yayday does not guarantee promotions, raises, job offers, positive reviews, manager approval, client approval, or any other professional outcome.
Yayday does not provide legal, HR, employment, tax, financial, or professional advice.
7. Reports, Exports, and Shared Copies
Yayday may allow you to create, copy, download, export, or share reports, summaries, drafts, or other work records.
Reports and drafts are private until you choose to download, copy, send, share, or otherwise disclose them.
Once you share content outside Yayday, the recipient may retain, copy, forward, screenshot, download, print, or otherwise use that content outside Yayday's control.
Revoking access inside Yayday may not delete copies already shared, exported, emailed, downloaded, screenshotted, or otherwise stored outside Yayday.
8. User Responsibilities
You are responsible for the content you enter into Yayday and for how you use the service.
You agree not to enter, store, or share content that you do not have the right to use.
You should not enter:
- passwords or access credentials;
- trade secrets;
- highly confidential employer or client information;
- sensitive personal employee data;
- regulated health, financial, legal, or identity information;
- content that violates workplace policies or client obligations;
- content that infringes another person's rights;
- unlawful, harmful, abusive, or deceptive content.
Yayday is designed to help you keep a professional work record. It is not a substitute for your judgment, workplace obligations, confidentiality duties, or legal responsibilities.
9. Acceptable Use
You agree not to:
- violate any applicable law or regulation;
- infringe or misappropriate intellectual property, privacy, publicity, or other rights;
- upload or transmit malware, viruses, or harmful code;
- attempt to gain unauthorized access to Yayday or related systems;
- interfere with or disrupt the service;
- harass, abuse, threaten, or harm others;
- use Yayday to deceive, defame, impersonate, or misrepresent;
- use Yayday to store or share unlawful content;
- scrape, reverse engineer, or misuse the service except as permitted by law;
- use Yayday in a way that could damage, disable, overburden, or impair the service.
We may investigate and take appropriate action if we believe these Terms have been violated.
10. Subscriptions, Trials, Billing, and Cancellation
If Yayday offers paid subscriptions, free trials, or promotional plans, the applicable price, trial length, renewal terms, and billing frequency will be disclosed at sign-up or checkout.
By starting a paid subscription or trial that converts to a paid subscription, you authorize Yayday or its payment processor to charge the payment method you provide according to the terms presented at checkout.
Unless otherwise stated at checkout, subscriptions renew automatically until canceled.
You may cancel your subscription through the account settings, billing portal, or another cancellation method provided by Yayday.
Cancellation stops future renewals but does not automatically refund prior charges unless required by law or stated in the applicable offer.
Yayday may change pricing or subscription features in the future. If a change materially affects an active paid subscription, Yayday will provide notice as appropriate.
11. Feedback
If you provide feedback, ideas, suggestions, or recommendations about Yayday, you grant us permission to use that feedback without restriction or compensation to you.
This does not give us ownership of your User Content.
12. Yayday Intellectual Property
Yayday and its software, design, features, functionality, branding, logos, text, graphics, and other materials are owned by Yayday or its licensors and are protected by intellectual property laws.
These Terms do not grant you ownership of Yayday's intellectual property.
You may not use Yayday's name, logos, branding, or trade dress without prior written permission, except where allowed by law.
13. Third-Party Services
Yayday may use or integrate with third-party services, such as hosting providers, authentication providers, payment processors, email delivery tools, analytics tools, AI service providers, or other service providers.
Your use of third-party services may be subject to their own terms and policies.
Yayday is not responsible for third-party services that we do not control.
14. Service Changes and Availability
We may modify, improve, suspend, or discontinue parts of Yayday over time.
We do not guarantee that Yayday will always be available, uninterrupted, secure, or error-free.
We may release, modify, or remove features, including experimental or preview features.
15. Termination
You may stop using Yayday at any time.
You may request account deletion through available account settings or by contacting us.
We may suspend or terminate access to Yayday if we believe you have violated these Terms, created risk for Yayday or other users, used the service unlawfully, failed to pay applicable fees, or if continued access would expose Yayday to legal, security, or operational risk.
Upon termination, your right to access and use Yayday will end.
Sections that by their nature should survive termination will survive, including ownership provisions, privacy-related provisions, disclaimers, limitations of liability, indemnification, and dispute-related provisions.
16. Disclaimers
YAYDAY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAYDAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
YAYDAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR FREE OF HARMFUL COMPONENTS.
YAYDAY DOES NOT GUARANTEE ANY EMPLOYMENT, CAREER, REVIEW, PROMOTION, COMPENSATION, REPUTATION, CLIENT, OR BUSINESS OUTCOME.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAYDAY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR OTHER INTANGIBLE LOSSES.
THIS LIMITATION APPLIES TO DAMAGES ARISING FROM:
- your access to or use of Yayday;
- your inability to access or use Yayday;
- User Content or shared content;
- AI-assisted outputs, drafts, reports, or suggestions;
- third-party conduct or services;
- unauthorized access, use, or alteration of your content;
- service interruptions, errors, or security incidents.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Yayday and its directors, officers, employees, contractors, agents, affiliates, suppliers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses arising from:
- your use of Yayday;
- your User Content;
- your sharing, exporting, or disclosure of content;
- your violation of these Terms;
- your violation of applicable law;
- your violation of workplace, client, confidentiality, or third-party obligations;
- your violation of another person's rights.
19. Governing Law
These Terms will be governed by the applicable laws identified for Yayday's business operations, unless a different rule is required by applicable law.
20. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will update the "Last updated" date and provide notice where appropriate.
Your continued use of Yayday after updated Terms become effective means you accept the updated Terms.
