By accessing or using Yayday ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Yayday is a workload management and productivity platform that allows users to: - Create and manage tasks and goals - Track progress on work items - Share updates with teammates and stakeholders - Generate reports and insights about work completed We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

To use certain features of the Service, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and promptly update your account information - Keep your password secure and confidential - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so through the account settings or by contacting us. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

IN NO EVENT SHALL YAYDAY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: - Your access to or use of (or inability to access or use) the Service - Any conduct or content of any third party on the Service - Any content obtained from the Service - Unauthorized access, use, or alteration of your transmissions or content

You agree to defend, indemnify, and hold harmless Yayday and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: - Your use of and access to the Service - Your violation of these Terms - Your violation of any third-party right, including any intellectual property or privacy right - Any claim that your User Content caused damage to a third party

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Yayday operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms.
